AISIN Principles of Corporate Behavior
Based on the ten fundamental principles set forth below, we the officers and employees of AISIN will abide by the letter and spirit of all applicable domestic and international laws, rules and regulations and act with social conscience. As a business enterprise, we will endeavor not only to maximize profits for our shareholders through fair competition but also to be useful members of society at large.
- We will gain the satisfaction and trust of consumers and users by developing and offering products and services beneficial to society with due attention to safety.
- We will accurately assess the needs of society and offer useful products and services that seek to provide quality and pricing that meet the consumer’s acceptance.
- We will introduce and implement appropriate safety measures to develop, produce and offer our products and services.
- We will furnish accurate information to help consumers and users select products and services in the most informed manner.
- To protect private and confidential information of individuals and customers and to comply with applicable privacy laws and regulations, we will strive to properly manage information received in the course of our business dealings.
- We will always engage in developing new technologies and products to offer superior products and services to consumers and users.
- To sustain and strengthen our ability to develop new technologies and products, we will endeavor to help employees fully develop their creative talents and provide an environment that encourages unimpeded exchanges of ideas.
- To develop and offer useful products and services while paying due attention to safety issues, not only will we observe all applicable laws and regulations in a variety of countries in the world in which we operate, but will also endeavor to understand and respect the unique social structure and culture of each such country.
- We will compete in a fair and open manner. We will enter into transactions in full compliance with applicable laws and regulations and with good social conscience. We will also maintain clean and normal relationships with politicians and government officials.
- Under the market principle of self determination and responsibility, we will compete in a fair and open manner and exercise self-discipline. In doing so, we will strive to uphold the highest corporate ethical standards, observing not only written laws, rules and regulations but also unwritten moral codes.
- We will not violate law, seek profits in an unethical manner, or take any action questionable under international ethical standards.
- We will abstain from any action that may be perceived as collusive or corrupt in our dealings with politicians and government officials and build and maintain healthy and clean relationships with politicians and government officials.
- We will make purchase decisions through a process that is easy to understand and open to a wide range of domestic and international suppliers and service providers, and the decisions will be primarily based on economic logic.
- We will protect confidential information and intellectual property owned by us. We will also respect others’ intellectual property.
- We will regularly review and improve our internal corporate systems, policies and customs as part of our efforts to make them fairer, more transparent and in line with the best global corporate practices.
- We will strive to establish sound customer transaction policies and work with our customers in full compliance with the letter and spirit of all applicable laws and regulations.
- We will make available corporate information in a proactive and fair manner in our communication with our shareholders and society at large.
- Through timely and appropriate disclosures of information about the whole spectrum of Aisin’s business activities that we believe is beneficial to society, we will endeavor to maintain communication channels open to and from the community around us and to ensure that our corporate activities are well within the societal norms and are fair and transparent.
- Our senior management will strive to be personally and actively involved in our public relations efforts.
- We will enhance our consolidated financial statements and promote better understanding by our shareholders through disclosure and investor relations efforts.
- Our shareholders meetings will be organized and run as occasions to facilitate and promote two-way communication between management and shareholders.
- We will actively participate in community activities and make other efforts to promote active dialogues with communities in which we exist and operate.
- We will endeavor to institute and enforce appropriate information management policies and exercise control over the receipt, use and disclosure of information to prevent violation of applicable laws and regulations, including those concerning unfair competition and insider trading.
- We will encourage employees to report any suspected violations or breaches of laws and regulations, and will prohibit any retaliatory action against those employees.
- Recognizing that how we deal with our environment is of critical importance to our existence and activities, we will proactively and positively address environmental issues.
- We will treat the environment as an essential business issue and duly evaluate how our business activities will impact the environment in light of various environmental laws.
- We will proactively and positively apply human, technological and other corporate resources to reduce environmental pollution and other public hazards.
- In all aspects of our corporate activities, we will endeavor to save and recycle resources and energy and take measures to mitigate global warming.
- In recognition of the need to foster the co-existence of a wide variety of species to bring about a truly prosperous living environment, we will strive to develop and employ ways to conduct our business that will protect nature.
- As a “good corporate citizen,” we will actively contribute to the civic activities of the local communities in which we operate.
- Instead of responding passively to easily observable social needs, we will proactively identify social needs and attempt to find solutions.
- We will be ready to support civic activities of the communities in which we operate, and will make available our human, technical and other corporate resources.
- We will explain in plain language to people both inside and outside the company our social contribution policies and the social activities in which we are involved.
- We will provide a safe and productive work environment, and will respect each employee’s personality and talents as a unique individual.
- We will endeavor to shorten the work hours and establish other employment practices that will contribute to each employee’s self-actualization as a “social being” and help the employee identify his or her fitting place in society.
- Our human resource policies will promote diversity and flexibility, help each employee realize his or her full potential, and provide a work environment that is safe and beneficial to our employees’ physical and mental well-being.
- Corresponding to our globally expanding business activities, we will strive to establish a crisis management system and protect our employees and their families.
- We will respect each employee’s unique personality, background and individual rights and endeavor to develop and provide business policies, benefit plans, and a work environment that will not discriminate against any employee on account of his or her age, gender, disability, nationality, creed, etc.
- We will respect each employee’s individuality and support the development of his or her career, work-related skills and knowledge to help him or her realize his or her full potential without regard to his or her age, gender, disability, nationality or social status.
- As part of our respect for individual rights, we will observe all laws and regulations concerning forced and child labor in all countries and political subdivisions in which we operate.
- We take a firm stand against all antisocial extremist individuals and groups that threaten social order and safety.
- Each of our officers and employees, regardless of his or her title, rank or responsibility, will strive to carry out his or her duties as a citizen with a law-abiding spirit and good social conscience and adhering to the appropriate code of behavior.
- Recognizing that it is a moral obligation and a critical condition to our growth as a business enterprise to take a resolute stand against antisocial extremist individuals and groups, our senior management will sever or never establish any relationships with such individuals and groups.
- We will deploy all necessary resources to share with our employees our resolution and stance against antisocial extremist individuals and groups and to prevent their involvement with the formation or development of such individuals and groups.
- We will conduct our international business in a manner that is respectful of each country’s culture and customs and contributes to its development.
- With a long-term view, we will endeavor to operate our business based on a mutual trust with each local community.
- To become an integral and trusted member of the community, we will actively recruit, train and promote people from within the local community.
- We will respect each local community’s culture and customs and endeavor to support various cultural and social activities as a “good corporate citizen.”
- We will build a global management system and strive to adopt and enforce a code of behavior based on these Principles in our international operations.
- Our senior management pledges to take the lead in furthering and propagating these Principles to all parties concerned. Senior management will also actively and regularly solicit input from people both inside and outside the company, set up a productive and efficient organizational structure and ensure that our personnel understands and upholds all applicable ethical standards.
- Our senior management will act as a role model in our effort to make ourselves a business enterprise beneficial to society at large and will strive to spread the spirit and letter of these Principles to every employee including those at subsidiaries and affiliates.
- Recognizing that business enterprises are integral members of society, senior management will govern our business affairs in full compliance with all applicable laws and regulations and with high moral and business standards in order to fulfill both our economic and social obligations. To this end, senior management will strive to, among other things, set up employee consultation units and appropriate training programs, and regularly monitor and analyze compliance to ensure adherence to applicable laws and these Principles.
- Should there occur any violation of these Principles, our senior management will take initiative in our efforts to identify and resolve the underlying issues and institute appropriate recurrence prevention measures. Also senior management will make prompt and accurate disclosures to the general public, and hold accountable and strictly punish those responsible for such violation (including itself).
- Our senior management will take a leadership role in establishing a risk management system to avert crises.
- If we fail to meet our social obligations and such failure calls into question our moral standards and conduct, senior management pledges to expeditiously investigate the failure, take appropriate action to mitigate its consequences, and explain to the public in clear terms what happened and what preventive measures are being taken.
- Senior management will promptly identify and strictly punish those who bear the responsibility for a violation of our ethical standards, including itself, and endeavor to bring a resolution that is satisfactory to society.
